1. Grant of License
Licensor hereby grants Licensee a non-exclusive, worldwide license to reproduce, perform, monetize,
and distribute the Work on any music platform, subject to the terms of this Agreement.
2. License Fee
Licensee has paid Licensor a one-time, non-refundable license fee of $100 USD.
3. Profit Sharing- 60% net profit to Licensee, 40% net profit to Licensor.- Payments must be made within 30 calendar days of receipt of revenue.- Licensee must maintain accurate records of all earnings related to the Work for at least 5 years.
4. Audit Rights
Licensor has the right, upon 10 business days’ notice, to audit Licensee’s financial records related to the Work.
If underpayment of more than 5% is found, Licensee bears audit costs in addition to unpaid amounts.
5. Penalty for Breach
Failure to pay Licensor their 40% share constitutes a material breach. Licensee agrees to pay a fine of $500,000 USD,
plus unpaid profits. The license terminates upon breach, and the Work must be removed from all platforms.
6. Ownership
Licensor retains full copyright ownership of the Work.
7. Indemnification
Licensee indemnifies and holds harmless Licensor from all claims arising from use of the Work.
8. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of the United States, State of New York.
Any disputes shall be resolved exclusively in the Federal and State Courts located in New York, USA.
9. Entire Agreement
This document supersedes all prior negotiations.
